Public Offer Agreement
(Subscription Terms)

1. General
1.1. This document is a public offer (`"Offer`") of TECH DUCK L.L.C.-FZ (`"Company`", `"we`") to conclude a contract with any person or entity (`"Client`", `"you`") on the following terms.
1.2. By registering on the AINA platform or paying for a subscription (when payment is available), you accept this Offer in full.
1.3. By accepting this Offer, the Client and the Company also agree to the Data Processing Agreement (DPA) available at: https://aina-tech.io/product/en/dpa.
2. Subject of the Agreement
2.1. The Company provides the Client with access to the AINA SaaS platform – an AI-based recruitment automation service.
2.2. The Client receives a limited license to use the platform functionality on a subscription basis.
3. Registration and Account
3.1. To access the Service, the Client must register and create an account.
3.2. The Client is responsible for maintaining the confidentiality of login credentials and for all activities under the account.
4. Subscription and Payment
4.1. Access to the Service is provided on a paid subscription basis.
4.2. Pricing and subscription terms are provided upon request. Clients may contact us at main@aina-tech.com to receive the current pricing and available subscription options.
4.3. Payment will be processed via international payment providers (e.g., Stripe) once payment functionality is activated.
4.4. The subscription will automatically renew unless canceled in your account.
4.5. All prices indicated in the applicable offer or invoice may include applicable taxes (e.g., VAT).
5. Cancellation and Refunds
5.1. The Client may cancel the subscription at any time in their account settings.
5.2. Refunds are only available if the Service cannot be used due to the Company's fault.
Note: For EU consumers, a 14-day withdrawal right applies; for Russian consumers, local consumer protection rules may apply.
6. Rights and Obligations
The Company shall:
- Provide access to the Service after activation of payment functionality.
- Maintain reasonable uptime and technical support.
- Process personal data in accordance with our Privacy Policy and the DPA.
The Client shall:
- Use the Service only for lawful purposes.
- Not upload unlawful or irrelevant content.
- Pay for the subscription once payment is enabled.
7. AI Disclaimer
7.1. AINA provides AI-based recommendations.
7.2. Final hiring decisions remain with the Client. The Company is not liable for employment decisions or consequences thereof.
8. Intellectual Property
All rights to the software, algorithms, and design remain with the Company. The Client receives only a limited, non-exclusive license.
9. Liability
9.1. The Company's liability is limited to the amount paid by the Client during the last 12 months.
9.2. The Company is not liable for indirect losses (e.g., lost profit, data loss).
10. Force Majeure
Neither party is liable for delays or failures caused by circumstances beyond reasonable control (internet outages, government restrictions, cyberattacks).
11. Term and Termination
11.1. This Agreement takes effect upon acceptance (registration or payment).
11.2. It remains in force until the end of the subscription period or cancellation.
11.3. The Company may suspend or terminate access in case of violation of these terms.
12. Governing Law and Jurisdiction
This Agreement is governed by the laws of Dubai, U.A.E.
All disputes shall be resolved in the courts of Dubai.
